Terms of Service

1. Acceptance of Terms

By accessing or using KOAP ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

KOAP is a cooperative management platform designed for housing cooperatives, worker cooperatives, condo associations, and similar member-owned organizations ("Organizations").

2. Description of Service

KOAP provides a cloud-based platform for cooperative and association management, including but not limited to:

• Bylaws management and version control
• Meeting scheduling and calendar management
• Voting and proposal systems
• Financial tracking and treasury management
• Maintenance request tracking
• Member directory and communications
• Document storage and sharing

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with reasonable notice to users.

3. User Accounts and Registration

3.1 Account Creation

To use KOAP, you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials.

3.2 Age Requirement

You must be at least 18 years old to use this Service.

3.3 Account Security

You are responsible for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account or any other breach of security.

4. Organization Accounts

4.1 Organization Administrator

The individual who creates an Organization account ("Admin") represents and warrants that they have authority to bind the Organization to these Terms.

4.2 Organization Responsibility

Organizations are responsible for:

• Maintaining accurate organization information and membership records
• Ensuring members comply with these Terms and applicable laws
• Safeguarding organization data and member information
• Payment of all applicable fees

5. Subscription and Payment Terms

5.1 Subscription Plans

KOAP offers various subscription plans with different features and pricing. Current plans and pricing are available at koap.app/pricing.

5.2 Free Trial

We may offer a free trial period for new organizations. No payment information is required during the trial. At the end of the trial period, you must subscribe to a paid plan to continue using the Service.

5.3 Billing

Subscription fees are billed in advance on a monthly or annual basis, as selected by you. All fees are non-refundable except as required by law or as explicitly stated in these Terms.

5.4 Price Changes

We reserve the right to change our pricing with 30 days' notice to existing subscribers. Beta and founding members may have special pricing terms that supersede standard pricing changes.

5.5 Payment Processing

Payments are processed through Stripe. By providing payment information, you authorize us to charge the applicable fees to your payment method.

5.6 Failed Payments

If a payment fails, we will attempt to notify you and retry the payment. Continued payment failure may result in suspension or termination of your account.

6. Acceptable Use Policy

You agree not to use the Service to:

• Violate any applicable laws, regulations, or third-party rights
• Transmit malicious code, viruses, or harmful software
• Attempt to gain unauthorized access to the Service or other users' accounts
• Interfere with or disrupt the Service or its servers
• Use the Service for any fraudulent or illegal purpose
• Harass, threaten, or harm other users or their organizations
• Scrape, copy, or download data without explicit permission
• Reverse engineer, decompile, or disassemble the Service

7. Data Ownership and Usage

7.1 Your Data

You retain all rights to data you upload to KOAP ("User Data"). You grant us a limited license to use, store, and process your User Data solely to provide the Service.

7.2 Data Responsibility

You are responsible for the accuracy, legality, and appropriateness of all User Data. You represent and warrant that you have all necessary rights to upload and use User Data in the Service.

7.3 Backup and Security

While we implement industry-standard security measures and maintain regular backups, you are responsible for maintaining your own backup copies of critical data.

8. Privacy and Data Protection

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information.

We comply with applicable data protection laws, including GDPR for European users and CCPA for California residents.

9. Intellectual Property

9.1 KOAP's IP

The Service, including its software, design, content, and trademarks, is owned by KOAP and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

9.2 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, worldwide, royalty-free license to use and incorporate such feedback.

10. Beta Features and Testing

We may offer beta or experimental features ("Beta Features"). Beta Features are provided "as is" without warranties and may be modified or discontinued at any time. You acknowledge that Beta Features may contain bugs or errors.

11. Third-Party Services

KOAP integrates with third-party services including:

• Stripe for payment processing
• Plaid for bank account connections
• Supabase for data storage and authentication

Your use of these third-party services is subject to their own terms and conditions. We are not responsible for the availability, security, or functionality of third-party services.

12. Termination

12.1 Termination by You

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period.

12.2 Termination by Us

We may suspend or terminate your account immediately if you violate these Terms, fail to pay fees, or engage in conduct that we determine to be harmful to the Service or other users.

12.3 Effect of Termination

Upon termination, your access to the Service will cease. We will retain your data for 30 days to allow for export, after which it may be permanently deleted.

13. Warranties and Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or completely secure. You use the Service at your own risk.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KOAP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, OR OTHER INTANGIBLE LOSSES.

Our total liability for any claims related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

15. Indemnification

You agree to indemnify and hold harmless KOAP, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your User Data

16. Dispute Resolution

16.1 Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.

16.2 Arbitration

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, except that you may bring claims in small claims court if they qualify.

17. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by email or through the Service at least 30 days before they take effect.

Your continued use of the Service after changes take effect constitutes acceptance of the new Terms.

18. General Provisions

18.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and KOAP regarding the Service.

18.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

18.3 Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

18.4 Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms without restriction.
